    Job Description

    As Senior Contracts Manager you will work in Quest’s Office in Cologne, Berlin, Cork or Bracknell and report to the General Counsel in the USA. In this position you will review and negotiate mainly German and English license agreements and other documents against company standards, mainly for Central Europe (Germany, Austria and Switzerland) and occasionally for other countries within EMEA (Europe, Middle East, Africa).




    Your Responsibilities include

    • Review and revision of draft license agreements and additional documentation, incl. data protection agreements, against internal guidelines and policies
    • Directly negotiate changes requested by customers with respect to standard license agreement with customers
    • Communicate and resolve deviations in drafts with internal stakeholders
    • Assure accuracy and appropriateness of contract documentation and attachments
    • Interact with Sales team and be first point of contact to address standard questions with respect to contract issues
    • Raise issues as appropriate, work with Senior Legal Counsel in Europe to resolve contract negotiation issues
    • Work closely with other departments to ensure compliance with financial and risk requirements such as revenue recognition and company processes and procedures
    • Participation in the preparation and adaptation of standard contracts and standard terms and conditions in cooperation with the EMEA Legal Team and Corporate Legal in the USA



    Job Requirements

    • Bachelor or equivalent (Masters or Legal degrees, such as a fully qualified German lawyer (“Volljurist”) (m/f), or Business Lawyer (“Wirtschaftsjurist”)
    • Several years of related work experience
    • General good understanding of contract law, particularly IP (copyright) license agreements, and data protection law, preferably in an international environment
    • Experience in direct negotiation of (license) agreements
    • Ability to systematically analyse complex problems, draw relevant conclusions and implement appropriate solutions after alignment with internal stakeholders
    • Experience in applying organizational standards when reviewing contracts and negotiating terms
    • Strong verbal and written skills, and ability to convey complex information in a way that others can readily follow
    • Administration skills with respect to contracts and contract management
    • Very well organized, and high level of attention to detail
    • Business fluency in English and German a must, additional language is desirable
    • Sound knowledge of MS Office
