Overview

Senior Corporate Counsel – Transactions and Data

 

Quest is an award-winning IT management software provider offering a broad selection of solutions that solve some of the most common and most challenging IT problems. We are currently looking for a Senior Corporate Counsel located remotely or out of our Aliso Viejo, CA, Columbus, OH, or Austin, TX offices.

Responsibilities

  • Negotiate, draft and interpret a wide variety of high value customer and partner transactions such as license agreements (perpetual and subscription), SaaS, professional services, reseller, OEM, strategic partnerships, consulting partnerships, and other inbound/outbound licensing agreements. 
  • Work with cross-functional teams in defining, developing and revising Data Security, AI and Data Privacy corporate policies, procedures and programs and implement those as part of the contracting and go to market strategy.  We are NOT looking for a privacy or compliance attorney, but a transactional attorney with knowledge and understanding of Data Security, AI and Data Privacy and a strong interest in developing practical commercial solutions in those areas.
  • Help lead legal operations initiatives, including integration of acquired companies, improving department policies and procedures, training, technology solutions, and other areas. 

Qualifications

  • Admitted and in good standing with applicable state bar (ability to provide academic and law firm credentials). 
  • 7+ years of technology transactional experience.  
  • Solid understanding of SaaS solutions, data privacy, AI and data security.
  • Previous in-house experience at a software or technology company with cloud solutions. 
  • High performer who is self-starter, adaptable, comfortable with ambiguity, curious and operates with a high degree of integrity.
  • Collaborative nature and able to work with a mostly remote team
  • Proactive and able to work efficiently, prioritize workflow, meet demanding deadlines, and manage multi-dimensional projects in a fast-paced environment.
  • Excellent analytic skills, with ability to act on the best information available and not wait for absolute certainty.
  • Commercial experience with and understanding of contracts management principles and ability to craft and implement legal policies and training. 
  • Strong judgment, attention to detail, interpersonal and communication skills, with demonstrated teaming ability to work well with, influence, and inform diverse groups, including peers and clients. 
  • Comfort level negotiating agreements through closure and highly regulated customers, frequently from customer paper.

 

 

PREFERENCES

  • Experience defining, implementing and updating policies and procedures in an area of rapid evolution such as privacy or AI and developing and delivering easily consumed training materials for a variety of in-house audiences.
  • Foreign language skills.
  • Experience integrating acquired companies.
